Brightline East LLC and Brightline Trains Florida LLC Debt Ratings Lowered To 'CCC'; Outlooks Negative โข We have sharply revised our base case for Brightline Trains Florida LLC (OpCo) following a material deviation from our growth expectations in the second half of 2025, which resulted in a larger-than-anticipated revenue shortfall and faster consumption of liquidity reserves. โข Looking ahead, we now project lower growth in ticket revenue of 15% in our base case in 2026, leading us to expect a higher probability of default by January 2027 for OpCo as liquidity available would be insufficient to meet debt service obligations. โข Therefore, S&P Global Ratings lowered both the unenhanced and the underlying ratings (SPUR) of the bonds guaranteed by Assured Guaranty Municipal (AGM) to โCCCโ from โBB-โ on OpCoโs $2.219 billion senior secured debt. โข At the same time, we lowered the rating on Brightline Eastโs (Parent) $1.119 billion of 144A notes to โCCCโ from โCCC+โ. We continue to expect Parent to default in January 2027, about 12 months away. โข The recovery rating on the OpCo debt is now '6', indicating a negligible recovery (rounded estimate at 5%) in the event of a payment default. The Parent's notes also have a '6' recovery rating, indicating a negligible recovery (rounded estimates 0%). โข The negative outlook reflects the exposure of the project to lower growth in 2026, which could bring forward the risk of default if the ridership or fare trajectory underperforms our forecast. The outlook also reflects an increased probability of a distressed exchange.
Ratings downgrade from S&P late Friday for Brightline's Florida ops. The agency now anticipates lower revenue growth, owing to fares "drastically discounted to encourage new riders [proving] particularly sticky," meaning it won't hit revenue targets.
