Bipa head office moves to Ausspanplatz The Business and Intellectual Property Authority (Bipa) will be moving its head office to the former SME Bank building. According to Bipa spokesperson Ockert Jansen, this move is to bring services closer to the city centre, making it more accessible. “The decision to relocate forms part of our commitment to improving your experience with Bipa and ensuring our services remain efficient, responsive and easy to access,” says Jansen. The new office is set to open on 1 July. Jansen says this change only affects the Windhoek head office. All services previously available at 3 Ruhr Street, Northern Industrial Area, will now be offered at the new Ausspanplatz location. “While we are working hard to ensure a smooth transition, we kindly ask for your patience as there may be some temporary service disruptions during the move,” says Jansen. Approximately 141 000 businesses face deregistration The Business and Intellectual Property Authority (Bipa) has announced that it has begun deregistering businesses that are not in compliance with the statutory beneficial ownership disclosure requirements. Bipa in a statement indicated that approximately 141 000 organisations face the risk of deregistration due to their failure to comply with the beneficial ownership obligation. The statement announced a phased deregistration process for businesses that remain non-compliant with the statutory beneficial ownership disclosure requirements. The obligation of the Beneficial Ownership Declaration was established through amendments to the Companies Act of 2004 and the Close Corporation Act of 1998, and took effect in July 2023. Prior to the announcement, Bipa carried out large-scale public awareness campaigns that employed various media channels and nationwide outreach programmes to inform business owners of their new compliance obligations. The statement highlighted that an order was issued in April this year by Bipa, notifying all defiant business owners of the potential for deregistration. “In a directive issued on 11 April, Bipa notified all non-compliant entities of the risk of deregistration, effective from 16 May, if they fail to comply by this deadline,” the statement notes. “Deregistration carries substantial legal and financial ramifications for both the entity and its associated interests,” the statement warns. The statement went on to list the damaging effects of deregistration. “Deregistration can lead to adverse consequences, including the potential loss of existing contracts, especially those related to public procurement, possible restrictions or closure of business bank accounts, deterrence to potential investment, and increased vulnerability to legal challenges, particularly for entities involved in ongoing litigation,” the statement stresses. “Given the severe and far-reaching implications of deregistration, Bipa reiterates its urgent appeal to all non-compliant businesses to immediately submit their beneficial ownership information and ensure compliance,” the statement details. BIPA forgives N$219 million in fines for over 28 000 businesses Hertta-Maria Amutenja Since the beginning of its yearly duty penalty waiver program in November 2023, the Business and Intellectual Property Authority (BIPA) has forgiven fines totalling N$219 million for 28 203 businesses. This follows the extension of the waiver deadline to 30 September 2025, aimed at helping thousands of non-compliant businesses avoid deregistration and regain good standing. The waiver applies to all registered entities with outstanding annual duty payments and late fees from 2012 to 2022. BIPA confirmed that, as of 31 March this year, around 177 000 entities had not yet participated in the campaign. According to BIPA’s spokesperson, Ockert Jansen, the waiver programme is a vital intervention for local entrepreneurs, particularly small and medium enterprises (SMEs) facing compliance challenges. “BIPA’s priority is to empower business owners with the tools and knowledge to keep their ventures compliant and thriving, allowing them to focus on building their dreams and inspiring others to do the same,” Jansen said. He said that businesses that fail to use the waiver window may remain liable for accumulated penalties and could face deregistration due to non-compliance. “The waiver benefit is only applicable to those who opt in within the specified period. This will be a lost opportunity for these entities. Entities that do not take advantage of the programme will forfeit the opportunity to restore their compliance status and return to good standing with BIPA under the relief provisions of the initiative,” Jansen said. To ensure wider participation, especially from rural and remote regions, BIPA launched an integrated public awareness campaign using radio, television, and regional outreach initiatives. The authority has also established a regional office in Ongwediva to bring services closer to businesses in northern Namibia. Despite these efforts, challenges remain. A significant number of business owners, particularly those in remote areas, still lack access to accurate and timely information. The Namibia Local Business Association (NALOBA) has raised concerns about the impact of potential deregistration on SMEs. “There are quite a number of challenges that businesses are facing. One of the key issues is affordability, especially for SMEs. Some businesses are in remote areas and may not have access to the internet. Even when they can comply, the information just does not reach them,” said NALOBA spokesperson Marius Nangolo. Nangolo stressed the need for BIPA to revisit its compliance requirements for SMEs and to simplify the process. BIPA identified several reasons why businesses fail to meet annual duty obligations. These include a lack of awareness, especially when registration was still under the Ministry of Trade, limited regional access, misinterpretation of post-registration obligations, and inactive or dormant entities created for once-off tender applications. Some business owners also mistakenly believed that non-trading businesses were exempt from compliance.

Announcing the extension on Tuesday, BIPA’s acting chief executive officer, Ainna Kaundu, said the move is part of ongoing efforts to support local entrepreneurs and improve compliance across the business sector. The waiver program allows registered entities that are in arrears with their annual duty payments to settle their obligations without incurring penalties or interest. Kaundu said the initiative offers businesses an opportunity to update their records, become compliant, and avoid the risk of deregistration. “We continue to recognise the challenges that many businesses, especially SMEs, are facing. By extending the waiver program, we are providing essential relief for entrepreneurs, enabling them to achieve compliance and continue playing an active role in Namibia’s economy,” said Kaundu. The waiver applies to all registered business entities and covers outstanding annual duty payments and late fees from the period 2012 to 2022. BIPA is encouraging businesses to make use of the extension by visiting any of its offices, including those in Walvis Bay and Ongwediva. “BIPA remains committed to fostering a supportive business environment and urges all non-compliant entities to utilise this extended waiver period to their benefit,” Kaundu said.

Kaundu said the penalty waiver applies to all business entities and to all outstanding annual duty payments and late fees due between 2012 and 2022. The penalty waiver initiative, she said, allows registered business entities that are in arrears with their annual duty payments to regularise their status without being slapped with penelties or interest. The initiative is an opportunity for busineses to bring their books to date and in order to avoid being de-registered.
