NaCC hits Rent-A-Drum with N$250,000 fine Allexer Namundjebo Rent-A-Drum (Pty) Ltd will pay a N$ 250,000 settlement after the Namibian Competition Commission (NaCC) found the company engaged in anti-competitive conduct in violation of the Competition Act. The case followed a complaint filed by D Ishuna Investments CC in August 2023. The Commission launched an investigation under Case No.: 2023AUG0006COMP. The findings, published in government gazette No. 8644 on 8 May, revealed that Rent-A-Drum had an exclusive distributorship agreement with Finnish company Molok OY. This agreement made Rent-A-Drum the only supplier of Molok-branded underground waste systems in Namibia. At the same time, the Swakopmund Municipality’s procurement process specified only Molok products, effectively blocking other suppliers from entering the market. The Commission concluded that Rent-A-Drum’s conduct violated section 23(1), read with sections 23(2)(b) and 23(3)(e), of the Competition Act, which prohibits actions that lessen competition or limit market access. Rent-A-Drum disputed NaCC’s findings and legal interpretation but agreed to settle without admitting liability. Under the consent agreement, the company will pay a N$150,000 fine and N$100,000 toward the Commission’s investigative and legal costs. It will also pay N$16,102.10 to D Ishuna Investments CC in final settlement under section 40(2)(a) of the Act. “This outcome demonstrates our continued commitment to safeguarding fair competition and ensuring a level playing field in the Namibian market,” said NaCC CEO Vitalis Ndalikokule. He said procurement processes tied to a single brand or distributor limit choice and harm smaller businesses. The commission said it will submit the consent agreement to the High Court for confirmation to give the settlement the full effect of a court order. Rent-A-Drum must implement several compliance measures. These include competition compliance training for management within 60 days, internal distribution of the agreement summary within 30 days, and regular progress reports to the Commission. The company must also adopt and maintain a zero-tolerance policy on anti-competitive conduct. The N$150,000 fine will be paid into the State Revenue Fund as required by section 53(5) of the Act.

Goal Maize fined N$300 000 for anti-competitive deal Justicia Shipena Maize meal producer Goal Maize CC will pay a fine of N$300 000 after the Namibian Competition Commission (NaCC) found that it has engaged in anti-competitive conduct through an exclusive distribution deal that blocked other traders in northern parts of the country. The Namibian Competition Commission resolved on 14 March 2022 to initiate an investigation against Goal Maize CC and Ondangwa Farmers Market CC. The commission’s investigation, registered under case number 2020FEB0003COMP, found that Goal Maize signed a sole distributorship agreement with Ondangwa Farmers Market CC. The deal gave the company full control to supply maize meal in Kavango East and West, Kunene, Omusati, Oshana, Ohangwena, Oshikoto, and Zambezi. This arrangement meant other business owners were not allowed to buy maize meal directly from Goal Maize’s factory in Tsumeb. According to government gazette No. 8639, dated 2 May 2025, this agreement violated the Competition Act. The Commission said Goal Maize limited market access, gave different conditions for similar transactions, and abused its dominance. Kaoko Feeds & Licks CC, a business based in Opuwo, filed the complaint. It said it was denied the chance to buy maize meal directly from the factory, even though it was capable of doing so. The company instead had to buy through the Ondangwa distributor, paying more due to transport and retail markups. It said it had already made transactions worth N$79 000 this way. Although Goal Maize did not accept the commission’s interpretation of the law or admit guilt, it agreed to settle the matter. The settlement includes a N$200 000 fine and N$100 000 to cover the Commission’s investigation costs. The company also agreed to end its exclusive distribution practices, introduce a competitive compliance program within 60 days, review internal policies, train staff, and adopt a zero-tolerance approach to anti-competitive conduct. The Commission intends to present the consent agreement as a court order to the High Court for the matter to be considered fully settled. Goal Maize will also be expected to comply with competition rules moving forward. Legal practitioner Johannes Shangadi said exclusive agreements must be handled with care. “When they result in effective market closure, especially where the supplier is dominant, they raise serious concerns. The moment qualified traders are excluded from direct supply, such arrangements move from strategic to unlawful,” he said. He pointed out that this case shows the Commission’s strong position against agreements that limit market participation and highlights the need for following rules, ensuring access, and maintaining fair competition in supply chains.

Namib Mills and Namib Poultry accused of stifling competition Ester Mbathera The Namibian Competition Commission (NaCC) is taking legal action against Namib Mills and Namib Poultry Industries (NPI) over alleged anti-competitive behaviour. The commission accuses the two companies of refusing to sell specific poultry products, known as tertiary range products, to micro, small and medium enterprises (MSMEs). These products include soup packs, giblets, necks, hearts, gizzards, heads and feet, liver tubs, and breastbones. “It is alleged that these products are in high demand in the informal sector, where the majority of MSMEs conduct their business. In doing so, the refusal to sell to new and existing MSMEs could be said to stifle competition in the relevant market, as it creates barriers to entry by refusing to supply,” said the NaCC. The decision was gazetted in February. According to the NaCC, this conduct hampers market entry for smaller competitors, restricts consumer choice, and negatively affects market competition. “Consequently, the respondents’ practice of withholding this specific range of products from MSME customers for a period of six months is not only detrimental to undertakings involved in the selling of poultry products but also to the end consumers,” said the NaCC. Under competition law, restrictive practices under Section 23 are classified as ‘per se’ prohibitions—these are inherently anti-competitive actions with no scope for justification through efficiencies or pro-competitive arguments. Contrarily, Section 26 allegations of abuse of dominance are typically assessed using a ‘rule of reason’ approach. This allows respondents, in this case Namib Mills and NPI, the opportunity to justify their conduct by demonstrating legitimate business rationales, such as economic efficiency, operational necessities, or practical market considerations. The commission began its investigation in June 2022 following complaints from MSMEs. On 21 December 2023, it issued a notice of its proposed decision. It now plans to approach the High Court to declare the companies’ actions unlawful and to seek financial penalties. “Ordering the respondents to cease with the conduct, restraining the respondents from engaging in the conduct in future and seeking an appropriate pecuniary penalty against the respondents,” reads the gazette. The commission says that MSMEs, especially those in informal settlements, depend on these lower-cost poultry products. “The refusal to sell to new and existing MSMEs could be said to stifle competition in the relevant market, as it creates barriers to entry by refusing to supply,” the commission said. It found that the alleged refusal affected smaller businesses such as Pro Healthy Bites, which serve low-income communities. Without access to these products, MSMEs lose customers to larger retailers located far from the communities they serve. “Consumers may be compelled to purchase from larger retailers, incurring additional expenses on transportation and potentially paying higher prices for the products,” the commission said. The NaCC also concluded that Namib Mills and NPI are dominant in the poultry market. NPI is a subsidiary company of Namib Mills Group Trust and was established in 2011. It is the only local producer of poultry products in Namibia, producing about 3,500 tonnes of poultry each month. Namib Mills is the sole distributor of NPI products. Together, the companies hold 74% of the market, with the remaining 26% made up of importers. While Namib Mills and NPI denied having any policy that excludes MSMEs, they told the NaCC that customers must meet a minimum order of 280kg to buy certain products. The commission has invited the companies to settle the matter to avoid court proceedings.
