Diamond Hill Announces Shareholder Approval of First Eagle Transaction Diamond Hill (NASDAQ:DHIL) announced shareholder approval of the proposed acquisition by First Eagle. The company said final certified voting results will be reported on a Form 8-K. The transaction is expected to close in the second quarter of 2026, subject to remaining closing conditions, including client consents based on revenue run-rate.Upon closing, Diamond Hill will become a wholly-owned subsidiary of First Eagle and its common shares will no longer trade on Nasdaq. Financial and legal advisors to both parties were named.

Diamond Hill to Be Acquired by First Eagle Investments Diamond Hill (Nasdaq: DHIL) agreed to be acquired by First Eagle for $175 per share in an all-cash deal valuing Diamond Hill at ~$473 million. The price represents a 49% premium to the Dec 10, 2025 close and a 44% premium to the 30-day VWAP. First Eagle expects the deal to expand its fixed income footprint and add Diamond Hill’s US multi-cap equity capabilities. Diamond Hill will retain its Columbus headquarters, brand, and investment teams. Pro forma AUM/AUA for First Eagle is ~$208 billion as of Sept 30, 2025.The transaction is unanimous by Diamond Hill’s board, expected to close by Q3 2026, has no financing contingencies, includes a 35-day go-shop, and will remove Diamond Hill shares from Nasdaq upon closing.
