UGI International Signs Definitive Agreement to Divest LPG Businesses in Eastern Europe UGI (NYSE:UGI) announced a definitive agreement to sell its LPG distribution businesses in Czech Republic, Hungary, Poland, and Slovakia to DCC plc for an enterprise value of approximately €48 million. The transaction is expected to close in the first half of calendar 2026, subject to customary closing conditions. Net proceeds will be used to reduce debt at UGI Corporation, aiming to strengthen the balance sheet and increase financial flexibility for future growth investments. Management said the divestiture substantially completes its portfolio optimization program and will allow UGI International to focus on markets where it has greater scale, supply infrastructure, and customer relationships.

Holders who validly tendered their notes will receive $1,010 for each $1,000 principal amount, plus accrued and unpaid interest. The settlement date is expected to be May 30, 2025. The Offerors also issued a conditional notice to redeem any remaining outstanding 2026 Notes not purchased in the tender offer.
